The straightforward terms for using Valdra. We’ve kept them readable on purpose.
01Agreement to these terms
These Terms of Service ("Terms") govern your access to and use of Valdra, operated by Canuckt Synergy Solutions Inc. ("Canuckt", "we", "us"). By creating an account or using the service, you agree to these Terms. If you are using Valdra on behalf of an organization, you represent that you are authorized to bind that organization.
02The service
Valdra provides software to help Canadian organizations assess, document, and manage privacy and compliance obligations under laws such as PIPEDA, Quebec Law 25, and CASL. We may update, add, or remove features over time, and we aim to give reasonable notice of material changes.
03Not legal advice
Valdra is a software tool, not a law firm. The assessments, scores, documents, and guidance it produces are informational and do not constitute legal advice and do not create a solicitor-client relationship. You are responsible for your own compliance and should consult qualified legal counsel for your specific situation. Valdra’s Legal Network can help you find one.
04Accounts and security
You are responsible for the accuracy of your account information, for safeguarding your credentials, and for all activity under your account. Notify us promptly of any unauthorized use.
05Acceptable use
You agree not to:
- Use Valdra unlawfully or to violate the rights of others.
- Attempt to breach, probe, or disrupt the service or its security.
- Reverse engineer, resell, or sublicense the service except as permitted.
- Upload content you do not have the right to process.
06Plans, billing, and refunds
Paid plans are billed in advance on the cycle you select, through our payment processor. Fees are in Canadian dollars unless stated otherwise. You can cancel at any time; cancellation stops future renewals and takes effect at the end of the current billing period. Except where required by law, payments are non-refundable for partial periods.
07Your data and intellectual property
You retain all rights to the content you put into Valdra ("Customer Data"). You grant us a limited licence to host and process Customer Data solely to provide the service. We retain all rights to the Valdra software, design, and trademarks. Our handling of personal information is described in our Privacy Policy.
08Availability and disclaimers
We work hard to keep Valdra available and accurate, but the service is provided "as is" and "as available", without warranties of any kind, to the fullest extent permitted by law. We do not warrant that the service will be uninterrupted, error-free, or that it will guarantee regulatory compliance.
09Limitation of liability
To the maximum extent permitted by law, Canuckt will not be liable for indirect, incidental, special, or consequential damages, or loss of profits or data. Our total liability arising out of or relating to the service is limited to the fees you paid us in the twelve months before the event giving rise to the claim.
10Termination
You may close your account at any time. We may suspend or terminate access if you materially breach these Terms or use the service in a way that risks harm. On termination, you may export your data for a reasonable period before deletion.
11Governing law
These Terms are governed by the laws of Canada and the province in which Canuckt is established, without regard to conflict-of-laws rules. Disputes are subject to the courts located there.
12Changes to these terms
We may update these Terms from time to time. Material changes will be posted here with a new effective date and, where appropriate, communicated to you. Continued use after changes take effect constitutes acceptance.
